Binding Contract

Pricing, Product Information & Typographical Errors

Force Majeure

ToolsToday is not liable for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, wars, terrorism, labor disputes, supply shortages, and system or technology outages.

Indemnification

You agree to indemnify, defend, and hold harmless ToolsToday and its officers, directors, employees, agents, licensors, and suppliers from all losses, liabilities, damages, and costs (including attorneys’ fees) arising from your violation of these Terms or misuse of the Site.

Applicable Law

These Terms and your relationship with ToolsToday are governed by the laws of the State of New York, without regard to conflict-of-law rules.

Binding Arbitration; Class Action Waiver

Except for disputes involving ToolsToday’s intellectual property rights, all disputes related to these Terms, the Site, or your purchases must be resolved through binding individual arbitration.

YOU WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

Pre-Arbitration Notice

Before initiating arbitration, you must first send written notice describing:

  • your name and contact information;
  • the nature of your dispute; and
  • the specific relief sought.

ToolsToday has 45 days to attempt to resolve the dispute.

Arbitration Process

If unresolved, arbitration will be conducted by a single arbitrator. If the parties cannot agree, an arbitrator will be appointed under the JAMS Streamlined Arbitration Rules.

Unless otherwise agreed, arbitration will take place in New York City, New York. Each party bears its own costs unless the arbitrator finds a claim was brought in bad faith.

Class Action Waiver

The arbitrator may not preside over any class, collective, or representative proceeding.

You may opt out of arbitration within 60 days of accepting these Terms by sending written notice to:

Federal Arbitration Act

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

Severability; Survival

If any provision of these Terms is found unlawful, void, or unenforceable, the remaining provisions remain in full force and effect. Provisions relating to indemnification, warranty disclaimers, limitations of liability, and arbitration survive termination.

Modification of Terms

ToolsToday may modify these Terms at any time. Changes become effective:

  • 30 days after notice is provided; or
  • upon posting the updated Terms on the Site.

Your continued use of the Site constitutes acceptance of the modified Terms. If you do not agree, you must discontinue use of the Site.
